1.1 The work this firm is instructed to do in relation to preparation of a Partnership/ Shareholders Agreement consists of:
1.1.1 Attendance on You by phone and email on two occasions in order to obtain Your initial instructions regarding the Partnership/ Shareholders Agreement;
1.1.2 Drafting correspondence to you by email to clarify matters;
1.1.3 Personal attendance on both partners to discuss requirements and reach agreement (two meetings only);
1.1.4 Drafting Partnership/ Shareholders Agreement in accordance with Your instructions;
1.1.5 Providing You with written advice regarding Partnership/ Shareholders Agreement and obtaining Your further instructions in relation to one set of amendments;
1.1.6 Preparation of Deed;
1.1.7 Amending Partnership/ Shareholders Agreement pursuant to Your instructions and providing it for Your execution.
1.1.8 The costs agreement will set out the kinds of matters that are included in the Partnership/Shareholders Agreement as part of the fixed fee.
1.2 If You require us to attend to anything which is additional to the above work then we require Your instructions to do so.
Work not included
1.3 It is important to understand that the following matters are not part of the work considered in providing You with our estimate of costs and may be charged in accordance to the modified Supreme Court scale which will be provided to you with a Costs Agreement. You have not instructed us to attend to this work as part of this quote:
1.3.1 Negotiations or investigations with council and other bodies;
1.3.2 Tax or accounting implications;
1.3.3 Insurance requirements relating to the purchase of a former partners share from the estate of the former partner.
1.3.4 Advice on any personal guarantees.
1.3.5 Drafting clauses relating to any buy/sell agreement or insurance related matters
This firm will not advise on the commercial viability of the transaction or accounting advice, nor will the solicitor provide advice in relation to succession law, matrimonial law, partnerships, tax law or any other matter which does not directly relate to the drafting of a partnership agreement
